SpendAlarm Terms of Service

1. Agreement to Terms

By accessing our website at spendalarm.com and using our software, web applications, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and SpendAlarm ("we," "us" or "our"). If you disagree with any part of the terms, then you are expressly prohibited from using the Service and must discontinue use immediately.

2. Description of Service

SpendAlarm is an alerting and monitoring software designed for performance marketers and agencies. We provide automated monitoring of third-party advertising platforms (such as Google Ads) via official APIs to send notifications based on predefined parameters like budget pacing, conversion velocity, and click-through rates. We do not place bids, pause campaigns, or actively manage your advertising accounts.

3. User Accounts & Registration

To use our Service, you may be required to register for an account and connect third-party platforms via OAuth. You agree to keep your password and API tokens confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

4. Acceptable Use Policy

You may not access or use the Service for any purpose other than that for which we make the Service available. As a user of the Service, you agree not to:

• Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Circumvent, disable, or otherwise interfere with security-related features of the Service.
• Use the Service in a manner inconsistent with any applicable laws or regulations.
• Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service.
• Attempt to bypass any measures of the Service designed to prevent or restrict access to the Service, or any portion of the Service.

5. Disclaimer of Warranties and Liability

We do not manage your ad spend. SpendAlarm is strictly an early-warning system. We make no guarantees that our alerts will prevent financial loss, budget overruns, or poor campaign performance.

The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis. You agree that your use of the Service will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof. We are not liable for any delays in alerts, API failures from third-party advertising platforms (e.g., Google Ads API downtimes), delivery failures by third-party communication tools (e.g., Slack, email servers), or any direct/indirect financial losses incurred in your advertising accounts while using our service. You remain fully responsible for the management and oversight of your advertising accounts.

6. Third-Party Websites and APIs

The Service integrates heavily with third-party APIs (such as Google Ads API, Slack API). Your use of these integrations is governed by the respective terms of service of those third parties. SpendAlarm is not responsible for any changes in third-party API availability, structure, or pricing that may affect the functionality of our Service.

7. Beta Usage and Feedback

During the beta testing phase, the service is provided free of charge and may contain bugs, errors, or other issues. We reserve the right to modify, suspend, or discontinue the beta service at any time without notice. If you provide us with any feedback or suggestions regarding the Service, you hereby assign to us all rights in such feedback and agree that we shall have the right to use and fully exploit such feedback and related information in any manner we deem appropriate.

8. Intellectual Property

Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

9. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Service. Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Service to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms.
